The following Terms and Conditions of Use (“Terms”) are entered into by and between You, NEXUS Nonprofits LLC, and CharityBox (“CharityBox,” “we” or “us”) and govern your use of the website www.charityboxhq.com and any subdomains (“Website”), including all materials, resources, information, and services on the Website, whether as a guest, customer, or member.

Acceptance of Terms

Your access to and use of the Website is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and others who access or use the Website. Users who do not agree with these Terms are strictly prohibited from accessing the Website and any services provided by CharityBox HQ Inc.

Incorporated Documents and Sites.

The CharityBox Privacy Policy and Disclaimers are hereby incorporated into these Terms. By agreeing to these Terms, you certify that you have read and agree to the CharityBox HQ Inc. Privacy Policy.

The CharityBox blog, social media, and other materials, resources, information, and services you receive from CharityBox HQ Inc. are hereby incorporated into these Terms. By using any of the services above, you acknowledge that you are bound by these Terms.

No Attorney-Client Relationship

CharityBox is not a law firm. There is no attorney-client relationship between you and CharityBox HQ Inc. or any of their employees or independent contractors. Any information provided on this Website should not be considered as legal advice, and the recipient of such information should seek independent legal advice from an attorney licensed in their state.

No CPA Relationship

It is expressly understood and agreed that no CPA (Certified Public Accountant) relationship is being created between you and CharityBox HQ Inc. CharityBox HQ Inc. is not engaged in rendering accounting, tax, or financial advice through this contract. Any information provided on this Website should not be considered as professional accounting advice, and the recipient of such information should seek independent accounting advice or consult with a licensed CPA for specific guidance on accounting, tax, or financial matters.

Confidentiality

Unless agreed upon in advance, inquiries and information CharityBox HQ Inc. receives will not be regarded as confidential.

CharityBox claims copyright protection on all of the content provided on our website, social media, email, Google Drive, and documents otherwise purchased, shared with, and/or created for you, your business, or your nonprofit. Documents you purchase and information you receive from CharityBox HQ Inc. may only be used for your individual purposes. Sharing, selling, or modifying any documents or information acquired from CharityBox HQ Inc., without the written permission of CharityBox HQ Inc. is strictly prohibited.

CharityBox understands and values the importance of intellectual property. If you believe that any content or material on the Website infringes on copyrights you own, please contact us immediately at charityboxhq@gmail.com.

User Data

You are responsible for any information and/or data you share on the Website. You authorize CharityBox to access, process, and use your data to contact you and in accordance with the CharityBox Privacy Policy.

Electronic Communication

You agree to receive email communications from CharityBox. CharityBox is not responsible for the confidentiality of emails you receive or send. If you would prefer to communicate with CharityBox through an alternative method, please contact us before providing CharityBox with your email address.

Membership / Subscription Services

1. Membership Enrollment and Duration:
By purchasing a CharityBox Membership, you agree that you are committed to a minimum membership duration of twelve (12) consecutive months, constituting a full year, from the date of purchase. This commitment ensures you will receive the optimal benefits and services associated with your membership.

2. Automatic Renewal:
Your membership will be automatically renewed on an annual basis, unless you provide us with written notice of cancellation at least thirty (30) days prior to the renewal date. Cancellation requests should be sent to charityboxvip@gmail.com. If you do not cancel your membership, you will be automatically enrolled into another (12) month membership.

3. Communication and Email Notifications:
We will communicate with you primarily through email for membership-related updates, announcements, and important information. It is your responsibility to ensure that the email address provided during registration is accurate and up to date. We cannot be held responsible for emails not reaching you due to technical issues, spam filters, or any other reasons beyond our control. If you hare having problems receiving your membership emails, templates, and tools please contact us.

4. Spam Filters and Email Delivery:
We recommend that you regularly check your email's spam or junk folder to ensure that our communications are not being filtered. It is your responsibility to configure your email settings to allow emails from CharityBox to be received in your inbox. If you suspect you are not receiving our membership-related emails, please contact us.

5. Agreement to Pay Monthly Fees:
By enrolling in our membership program, you agree to pay the monthly membership fee for the duration of the initial twelve (12) month commitment. This commitment includes a total of twelve monthly payments. These payments are non-refundable, even if you choose to cancel your membership before the end of the initial commitment period.

6. Termination and Violation of Terms:
CharityBox reserves the right to terminate or suspend your membership, at its sole discretion, in the event of violation of these terms and conditions, fraudulent activity, or any other conduct deemed inappropriate. In such cases, no refunds will be provided for any remaining membership fees.

Age Restriction

You certify by agreeing to these Terms that you are at least 18 years of age and you are legally able to enter into a contract. Individuals under the age of 18 or otherwise unable to legally enter a contract are prohibited from accessing the Website and receiving services from CharityBox HQ Inc.

Jurisdiction

The terms of this agreement are to be governed by the state laws of Puerto Rico. The state and federal courts located in Puerto Rico have exclusive jurisdiction over any case or controversy arising from this agreement and any other information or services provided by CharityBox HQ Inc.

Assignment

The rights and obligations created under this agreement may not be assigned to any other party.

No Guarantees

We cannot legally guarantee results. Past results are not indicative of future results.

Third-Party Sources

The Website may contain links to third-party websites and resources. CharityBox is not responsible or liable for the content, availability, accuracy, or policies of third-party websites or resources. We highly suggest you read the Privacy Policy, Terms and Conditions, Terms of Use, Terms of Service, Disclaimers, and any other relevant documents on all third-party websites and resources.

Warranties

Information on the CharityBox website, blog, social media, and other information sharing outlets are provided "as is" and "as available" without a warranty of any kind. All information may not always be current, complete, or accurate. Any implied warranty is expressly disclaimed.

Damages

CharityBox HQ Inc. is not liable to you or others for any damages of any kind arising from the use of the Website, blog, social media, other information sharing outlines, and/or CharityBox services.

Indemnification

You will defend, indemnify, and hold us, our affiliates, officers, directors, employees, suppliers, consultants, and agents harmless from any and all third-party claims, liability, damages, and costs (including, but not limited to, attorneys’ fees) arising from or related to, as applicable: (a) your access to and use of the Website; (b) violation of these Terms by you or your authorized Account user(s), as applicable; (c) infringement of any intellectual property or other right of any person or entity by you; (d) the nature of data processed by CharityBox; or (e) any products, information, or services purchased or obtained by you in connection with CharityBox.

Terms and Termination

These Terms are effective unless and until terminated by either you or CharityBox HQ Inc.. You may terminate your use of the Website at any time by ceasing to further use the Website. CharityBox is also free to terminate your use of the Website, for any reason in our sole discretion, including your breach of these Terms.

Severability

The sections in these Terms are included for your convenience and are not to affect the interpretation of these Terms. If any portion of these Terms is held to be unenforceable or contrary to law, such portions shall be construed in accordance with applicable law, to accomplish the objectives in these Terms, to the fullest extent allowed by law. Remaining section headings shall remain in full force and effect. In the event that one or more of the provisions of this agreement are found unenforceable, illegal, or invalid, the other provisions of this agreement shall not be affected.

Subject to Change

CharityBox reserves the right to change these Terms, including our Privacy Policy and Affiliate Agreements. All changes are effective immediately upon notice. Notice is provided by CharityBox by posting new or updated Terms on the Website. CharityBox suggests returning to these Terms during each use of the Website to check if these Terms have changed.

Entire Agreement

These terms supersede any prior or contemporaneous communications, representations or agreements between CharityBox HQ Inc. and you or your business and affiliates.

Effective Date

These Terms are effective as of July 27th, 2023.
